Questions brokers ask

What do you need from me?

Tax returns or financial statements for the last three years, a year-to-date P&L and your notes on the business. PDFs are fine. Send the add-backs you already know about; we look for others in the returns and flag them for you.

Why do you start from the tax returns?

Because that is where a buyer's SBA lender starts. Lenders check the seller's returns against IRS transcripts, so our recast starts from the same numbers the lender verifies. Where the internal P&L differs from the returns, the workbook shows the difference and the reason.

When does the 72-hour clock start?

When we have every file on the list. It pauses while the add-backs wait for your OK, and weekends don't count: files that are complete on a Friday come back on Wednesday.

Who decides the add-backs?

You and your seller. We propose each one with its support and mark estimates as estimates. You approve them by email or on a short call, whichever suits you. Nothing goes into the CIM without your OK.

Can you follow our existing format?

Yes. Send a past CIM and we follow its structure, look and name.

How do you keep seller files confidential?

We sign your NDA, or send ours, before you share anything. Files come in through a private upload link, never by email, and are deleted 30 days after delivery or the day you ask. Please black out Social Security numbers first; we don't need them. The teaser never names the company.

What size of listing do you take?

Main Street businesses up to the lower middle market. $1,500 covers a CIM of about 20 pages; when a deal needs more, we quote a fixed price before you send files.

Do you contact my seller or my buyers?

No. We work only with you. Questions about the business go through you, and nothing reaches a buyer from us.

What if the numbers change later?

One round of changes is included. For later updates, such as a new quarter, send us the workbook you have; we add the new numbers and quote the update before we start.

How does payment work?

We invoice per listing, by card or bank transfer, with no subscription. Your first listing is paid after delivery, once you've seen the files. After that, payment is due when you place the order.

Are the samples real deals?

No. Project Keystone, Project Harbor, the three broker brands and every number in the samples are fictitious.
